General Terms and Conditions of Signau House Zürich AG
(GTC Rooms)
1. Scope
These General Terms and Conditions (hereinafter referred to as “GTC”) apply to the temporary and remunerated provision of rooms by Signau House Zürich AG at Signau House & Garden Zürich (hereinafter referred to as “SHG”) as well as to all services and deliveries provided in this context.
All offers of SHG are based on these GTC. They form an integral part of each individual contract between the guest and SHG. Deviations from these GTC require an express written agreement between the guest and SHG in order to be valid. This also applies to the waiver of the written form requirement. If these GTC contradict any general terms and conditions of a guest, these GTC shall take precedence.
2. Contract Conclusion
Following the reservation by the guest, the guest will receive a written reservation confirmation electronically from SHG. The contract between the parties shall only be concluded upon dispatch of the electronic reservation confirmation by SHG to the guest. In case of reservation via an Internet channel, the contract is also concluded upon delivery of the booking confirmation and/or the advance payment to be made. Changes or cancellations can only be made within the framework of these GTC.
3. Scope of services and use
SHG undertakes to provide the services ordered by the guest and promised in writing by SHG.
The rooms and the objects, equipment and facilities provided may only be used for the purpose for which they are intended.
The parking spaces in the underground car park are reserved for hotel guests. The guest may only use assigned, reserved parking spaces against payment.
4. Terms of Payment
4.1. Prices
All prices are in Swiss francs (CHF) and include value added tax (VAT) at the applicable rate. Breakfast is included in the room rates.
Any increase in statutory charges after conclusion of the contract shall be borne by the guest. All prices publicly published by SHG may be adjusted and changed at any time without notice to the guest. For the guest, the prices stated in the written reservation confirmation from SHG shall apply.
4.2. Warranty
Each booking must be guaranteed by a valid credit card. Following receipt of the reservation confirmation, the guest is obliged to provide SHG with the credit card number as well as the full name and expiry date of the card. Until credit card details are received, SHG reserves the right to allocate provisionally reserved rooms to other parties.
4.3. Prepayment
SHG shall be entitled to demand an appropriate deposit from the guest at any time. The amount of the deposit and the payment dates shall be agreed in writing in the contract.
4.4. Payments
If no deposit is required by SHG, the entire invoice amount shall be paid by the guest upon departure, at the latest, by credit card (Master, VISA, Diners), debit card /EC/Maestro) or in cash. If payment by invoice is agreed, the full invoice amount is due 10 days after the invoice date. In case of default in payment, SHG shall be entitled to charge interest on arrears at a rate of 5% per annum.
5. Hotel Rooms
5.1. Arrival and Departure Times
The hotel rooms are ready for occupancy from 3.00 p.m. on the day of arrival and must be vacated before 11.00 a.m. on the day of departure.
Arrivals or departures outside these times are only possible subject to availability and prior contact with the reception. Depending on the booking situation, later departures may be granted against settlement.
If a guest wants to be allowed to move into the room before 3.00 p.m., the previous night must also be booked at the full price.
5.2. Block Bookings / Room Contingents
10 days before arrival at the latest, SHG will receive a list of participants from the guest with the following details: First and last name of all guests, arrival time as well as the payment conditions of the guests. After expiry of the deadline set by SHG, the rooms still available in the respective contingent will be released for open sale again.
5.3. Cancellation Conditions
The following cancellation conditions apply both to the cancellation of bookings and in the event of no-show as well as in the event of early departure.
Cancellations of individual hotel room bookings (up to 2 rooms) must reach SHG no later than 2 days prior to arrival, by 12.00 noon local time. SHG reserves the right to charge the first night 2 days before arrival.
In case of cancellation within 1 day before the date of arrival, the price for the first night and if booked also the second night will be charged per cancelled room. In the event of “no-show”, all booked overnight stays will be charged.
Cancellation of a block booking of several hotel rooms (from a total of 3 rooms) must reach Signau House at the latest as follows:
– From 3 rooms 10 days prior to arrival or start of event
– From 5 rooms 14 days prior to arrival or start of event
– From 7 rooms 21 days prior to arrival or start of event
In the event of cancellation after the above deadlines, the guest will be charged cancellation costs as follows:
– From 3 rooms:
7 – 10 days before arrival 50% of the total amount of all room nights
From 6 days before arrival 100% of the total amount of all room nights
– From 5 rooms:
11 – 14 days before arrival 50% of the total amount of all room nights
From 10 days before arrival 100% of the total amount of all room nights
– From 7 rooms:
15 – 21 days before arrival 50% of the total amount of all room nights
From 14 days before arrival 100% of the total amount of all room nights
In the event that an organiser books rooms at Signau House as part of its event, the above cancellation conditions shall apply mutatis mutandis.
For all cancellations, all services provided in advance by SHG and its partners must be paid for in full in all cases.
5.4. Rebooking by Signau House
If SHG cannot provide the guest with one or more booked rooms for any reason, they will provide him/her with a room of equal value. If no equivalent room is available, SHG will provide the guest with an available room of another category, if available.
6. Withdrawal from the Contract by Signau House
If the guest does not fulfil their obligation to pay the deposit in accordance with clause 4.3 above, even after expiry of a reasonable period of grace set by SHG, Signau House shall be entitled to withdraw from the contract and to allocate the rooms elsewhere. The guest shall be liable to SHG for any resulting damage.
The hotel shall furthermore be entitled to withdraw from the contract with immediate effect if it is not or no longer reasonable for the hotel to accept, continue or completely fulfil the contractual relationship, but among other things always in the following cases:
a) Force majeure/other circumstances for which the hotel is not responsible, and which make the performance of the contract unreasonable.
b) Rooms were booked under misleading or false statements of material facts (e.g. in the person of the guest or the purpose).
c) The hotel has reasonable grounds to believe that the use of the hotel service may jeopardise the smooth operation of the business, the safety or the reputation of the other guests and/or the hotel without this being attributable to the hotel’s sphere of control or organisation. Any claims for damages by Signau House against the contracting party shall remain reserved.
7. Liability
7.1. Liability of the Guest
The guest shall be liable to SHG for all damage and loss, or other damage caused by themselves, their employees, agents, fellow travellers or other third parties.
7.2. SHG’s Liability
SHG shall only be liable for intentional or grossly negligent contractual or non-contractual damage and only for direct damage.
For loss of or damage to items brought in, SHG shall also only be liable in the event of intent and gross negligence.
Insofar as the hotel is legally liable for third parties, it shall likewise only be liable if there is gross negligence on the part of the third party; the hotel’s liability shall be excluded if the third party caused the damage intentionally.
The hotel’s liability is expressly limited in amount to the benefits of the hotel’s liability insurance, in particular also for third-party and reflex damage. Liability for valuables and cash only exists if they are kept in the room safe or handed in at the reception against receipt.
The hotel shall not be liable for loss of or damage to parked or manoeuvred motor vehicles of the guest and their contents on the hotel property, unless there is intent or gross negligence.
Any further liability, in particular for slight or medium negligence or for indirect damage such as, in particular, loss of profit, is excluded in accordance with Art. 100 of the Swiss Code of Obligations (“OR”). Likewise, liability for auxiliary persons is completely excluded pursuant to Art. 101 para. 2 OR.
Any liability claims shall be forfeited if the guest does not notify Signau House in writing immediately after becoming aware of loss, damage or destruction.
8. Final Provisions
8.1. Changes in / Amendments to these GTC
SHG reserves the right to change these GTC at any time. Changes will be made available on the website or mobile applications and will come into force as soon as they are posted.
Unilateral amendments or additions to these GTC by the guest are invalid, even in written form.
8.2. Partial Ineffectiveness
If individual provisions of these GTC are or become invalid or void, this shall not affect the validity of the contract and the remaining provisions of the GTC. In all other respects, the statutory provisions shall apply.
8.3. Place of Performance / Place of Payment
The place of performance and payment is Zurich, Switzerland.
8.4. Applicable Law / Place of Jurisdiction / Special Domicile
Swiss law shall apply exclusively to all contractual and any supplementary agreements. The place of jurisdiction for all disputes arising from this contract is Zurich 1. The contractually agreed place of jurisdiction shall also apply to any pre-litigation interim measures.
The guests residing abroad, or guests without a fixed abode, or with unknown abode, hereby declare that they wish to submit to execution in Switzerland within the meaning of Art. 50 para. 2 SchKG [Swiss Debt Enforcement and Bankruptcy Act] and choose Zurich in favour of SHG and as the special domicile for the fulfilment of all liabilities arising from or in connection with the present accommodation agreement.
The guest residing abroad, as well as the guest without a fixed abode or with an unknown abode, agrees that any court and/or enforcement documents of the Zurich court or enforcement authorities intended for them, including orders and decisions, may be delivered to the hotel address with legally binding effect.
